Notice of Change in Board of Directors. At any time after a Qualified IPO, with reasonable promptness, written notice of any change in the Board of Directors of Holdings or any Borrower; provided, the filing by Holdings or any Borrower, as applicable, of a Form 10-K or Form 10- Q (or any successor or comparable forms) with the Securities and Exchange Commission (or any successor thereto) as at the end of and for any applicable Fiscal Year or Fiscal Quarter containing such information shall be deemed to satisfy the obligations under this Section 5.1(k).
