Common use of Notice of Claims; Cooperation Clause in Contracts

Notice of Claims; Cooperation. In the event, a Claim of indemnity may be sought, the Party seeking such indemnity shall provide notice to the indemnifying Party of the Claim within ten (10) days of receipt. Failure to notify indemnitor by that deadline shall not waive the right to indemnification if such failure does not prejudice indemnitor’s ability to defend such Claim. Such notice must include a reasonable identification of the alleged facts giving rise to the Claim. The indemnitor shall have the option to assist in the defense of the Claim, at its cost.
