Common use of Notice of Conversion Price Adjustment Clause in Contracts

Notice of Conversion Price Adjustment. (a) Whenever the Conversion Price is adjusted, the Company shall promptly mail to the Holders a notice of the adjustment and file with the Trustee an Officers’ Certificate briefly stating the facts requiring the adjustment and the manner of computing it. Unless and until the Trustee shall receive an Officers’ Certificate setting forth an adjustment of the Conversion Price, the Trustee may assume without inquiry that the Conversion Price has not been adjusted and that the last Conversion Price of which it has knowledge remains in effect.
