Promptly advise the Purchaser of any event which could have a material adverse effect on the Company's business, operation, property, assets or condition, financial or otherwise, or the existence or occurrence of any Event of Default (as defined in the Notes), any breach of this Section 9 or any default of the Company under any agreement or instrument to which it is a party.
