Common use of Notice of Default or Misrepresentation Clause in Contracts

Notice of Default or Misrepresentation. (a) Promptly after obtaining knowledge of the occurrence of an Event of Default or a Potential Default, a certificate of the chief financial officer or chief accounting officer of DFC specifying the nature thereof and DFC's or DMC's proposed response thereto and (b) at any time that any representation, warranty or other information contained in any statement or certificate required to be delivered hereunder or any representation or warranty deemed to have been made hereunder shall prove to be false or misleading in any material way, promptly after obtaining knowledge thereof give notice thereof to the Agent describing how such representation, warranty or information is misleading.
