NOTICE OF DEFAULTS, DISPUTES AND LITIGATION. Promptly after becoming aware of the same, UPFUELS shall notify UPR of any breach or default under any of the Transportation Contracts, or any disputes or litigation (whether administrative, judicial or arbitral) in connection with the Transportation Contracts that could reasonably be expected to have an adverse effect on (a) UPFUELS' ability to transport Subject NGLs thereunder or (b) the prices for Subject NGLs realized by UPR hereunder, and shall keep UPR informed, on an ongoing basis, of material developments in any such disputes or litigation;

There is no litigation, proceeding, investigation, claim, complaint or accusation, formal or informal, or arbitration pending, or any of the aforesaid threatened, or any contingent liability which would give rise to any right of indemnification or similar right on the part of any director or officer of KINA OLE or any such person's heirs, executors or administrators as against KINA OLE.

  • Legal Action Notice A prompt report of any legal actions pending or threatened in writing against Borrower or any of its Subsidiaries that could result in damages or costs to Borrower or any of its Subsidiaries of, individually or in the aggregate, One Hundred Thousand Dollars ($100,000) or more; and

  • Infringement and Litigation 11.1 Each party shall promptly notify the other in writing in the event that it obtains knowledge of infringing activity by third parties, or is sued or threatened with an infringement suit, in any country in the LICENSED TERRITORY as a result of activities that concern the LICENSED PATENTS, and shall supply the other party with documentation of the infringing activities that it possesses.

  • Notice of Litigation Each Purchaser shall promptly notify the applicable Seller upon becoming aware of any Proceedings or threatened Proceedings concerning any Serviced Appointment (whether or not the Sellers are named in such Proceedings), in each case, excluding Proceedings in servicer-managed mortgage-level litigation with respect to residential mortgage-backed securities transactions.
