Common use of Notice of Delinquent Payment by Plan Sponsor Clause in Contracts

Notice of Delinquent Payment by Plan Sponsor. SOUTHERN SCRIPTS agrees to use its best efforts to ensure that each Plan Sponsor pays SOUTHERN SCRIPTS all amounts due to PHARMACY in a timely fashion. In the event that SOUTHERN SCRIPTS learns of delinquent payment(s) by Plan Sponsor, SOUTHERN SCRIPTS shall notify PHARMACY. Upon such notification, PHARMACY may deny service to some or all of such Plan Sponsor’s Members until such time as PHARMACY receives assurances of payment from Plan Sponsor or SOUTHERN SCRIPTS, which PHARMACY deems satisfactory. In the event of non-payment by a Plan Sponsor, SOUTHERN SCRIPTS is not required to commence litigation or other legal proceedings against a Plan to obtain payment.
