Common use of Notice of Elections Clause in Contracts

Notice of Elections. To make an election pursuant to this Section, the Borrower shall notify the Administrative Agent of such election by delivery of a signed Interest Election Request in a form approved by the Administrative Agent or by telephone (followed promptly, but no later than the close of business on the date of such request, by a signed Interest Election Request in a form approved by the Administrative Agent) by the time that a Borrowing Request would be required under Section 2.03 if the Borrower were requesting a Borrowing of the Type resulting from such election to be made on the effective date of such election. Each such telephonic and written notice of election shall be irrevocable.

Each such telephonic and written notice of election Interest Election Request shall be irrevocableirrevocable and shall be confirmed promptly by hand delivery or telecopy to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the Borrower.

Notice of Elections. To make an election pursuant to this SectionSection 2.05, the Borrower shall notify the Administrative Agent of such election by delivery telephone (a) in the case of a signed Eurodollar Borrowing, not later than 11:00 a.m., Pacific Time, three Business Days before the proposed effective date of the election made pursuant to such Interest Election Request or (b) in the case of an ABR Borrowing, not later than 11:00 a.m., Pacific Time, one Business Day before the proposed effective date of the election made pursuant to such Interest Election Request. Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly by hand delivery or facsimile to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent or by telephone (followed promptly, but no later than the close of business on the date of such request, by a and signed Interest Election Request in a form approved by the Administrative Agent) by the time that a Borrowing Request would be required under Section 2.03 if the Borrower were requesting a Borrowing of the Type resulting from such election to be made on the effective date of such election.
