Common use of Notice of Elections Clause in Contracts

Notice of Elections. To make an election pursuant to this Section, the Borrower shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request or e-mail by the time that a Borrowing Request would be required under Section 2.03 if the Borrower were requesting a Syndicated Borrowing of the Type resulting from such election to be made on the effective date of such election. Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, telecopy or electronic communication to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the Borrower.

Notice of Elections. To make an election pursuant to this Section, the Company (on behalf of itself or the relevant Borrower) or the relevant Borrower shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request or e-mail telephone by the time that a Borrowing Request would be required under Section 2.03 if the such Borrower were requesting a Syndicated Borrowing of the Type resulting from such election to be made on the effective date of such election. Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, delivery or telecopy or electronic communication to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the Company (on behalf of itself or the relevant Borrower) or the relevant Borrower.

Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, delivery or telecopy or electronic communication to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the Borrowerapplicable Borrower or the Company.

Notice of Elections. To make an election pursuant to this Section, the Borrower shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request hand delivery, facsimile or e-mail by electronic communication by the time that a Borrowing Request would be required under Section ‎Section 2.03 if the Borrower were requesting a Syndicated Revolving Borrowing of the Type resulting from such election to be made on the effective date of such election. Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, telecopy facsimile or electronic communication to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the Borrower., substantially in the form of Exhibit F.

To make an election pursuant to this Section, the Borrower shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request or e-mail telephone by the time that a Borrowing Request would be required under Section 2.03 if the Borrower were requesting a Syndicated Revolving Credit Borrowing of the Type resulting from such election to be made on the effective date of such electionelection (regardless of whether the Borrowing to which such election applies is a Term Loan Borrowing or Revolving Credit Borrowing). Each such telephonic Interest Election Request interest election request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, delivery or telecopy or electronic communication to the Administrative Agent of a written Interest Election Request in a the form approved by the Administrative Agent of Exhibit F1 or Exhibit F2, as applicable, and signed by the Borrower.

Notice of Elections. To make an election pursuant to this Section, the a Borrower shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request or e-mail telephone by the time that a Borrowing Request would be required under Section 2.03 if the Borrower were requesting a Syndicated Borrowing of the Type resulting from such election to be made on the effective date of such election. Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, delivery or telecopy or electronic communication to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the Borrower.

Notice of Elections. To make an election pursuant to this Section, the Borrower shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request or e-mail telephone by the time that a Borrowing Request would be required under Section 2.03 if the Borrower were requesting a Syndicated Borrowing of the Type resulting from such election to be made on the effective date of such election. Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, telecopy delivery or electronic communication mail (or other agreed mutually agreeable electronic transmission) to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the Borrower.. 50

To make an election pursuant to this Section, the Borrower shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request or e-mail telephone by the time that a Borrowing Request would be required under Section 2.03 if the Borrower were requesting a Syndicated Revolving Credit Borrowing of the Type resulting from such election to be made on the effective date of such electionelection (regardless of whether the Borrowing to which such election applies is a Term Loan Borrowing or Revolving Credit Borrowing). Each such telephonic Interest Election Request interest election request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, delivery or telecopy or electronic communication to the Administrative Agent of a written Interest Election Request in a the form approved by the Administrative Agent of EXHIBIT F1 or EXHIBIT F2, as applicable, and signed by the Borrower.

To make an election pursuant to this Section, the Borrower shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request or e-mail telephone by the time that a Borrowing Request would be required under Section 2.03 if the Borrower were requesting Revolving Credit Agreement a Syndicated Borrowing of the Type resulting from such election to be made on the effective date of such election. Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, delivery or telecopy or electronic communication to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the Borrower.

Notice of Elections. To make an election pursuant to this Section, the Borrower applicable Borrower, or the Company on behalf of such Xxxxxxxx, shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request or e-mail telephone by the time that a Borrowing Request would be required under Section 2.03 2.06 if the Borrower Borrowers were requesting a Syndicated Borrowing of the Type resulting from such election to be made on the effective date of such electionelection (and with respect to any Term Loan, assuming for such purposes that Section 2.06 applied to such Term Loans). Each such telephonic Interest Election Request shall be irrevocable and shall be confirmed promptly (but no later than the close of business on the date of such request) by hand delivery, delivery or telecopy or electronic communication to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the Borrowerapplicable Borrower or the Company.

Notice of Elections. To make an election pursuant to this SectionSection 2.07, the Borrower shall notify the Administrative Agent of such election by telephone, delivery of a signed Interest Election Request telephone or e-mail electronic communication by the time that a Borrowing Request would be required under Section 2.03 if the Borrower were requesting a Syndicated Borrowing of the Type resulting from such election to be made on the effective date of such election. Each such telephonic Interest Election Request delivered by telephone or electronic communication shall be irrevocable and shall be confirmed promptly (but 52 Revolving Credit Agreement no later than the close of business on the date of such request) by hand delivery, telecopy or electronic communication to the Administrative Agent of a written Interest Election Request in a form approved by the Administrative Agent and signed by the BorrowerRequest.
