Notice of Final Settlement Method. In order to elect a Settlement Method other than Net Share Settlement for any Exercisable Options relating to Convertible Notes with a Conversion Date occurring on or after March 15, 2014, Counterparty must notify Dealer in writing before 5:00 p.m. (New York City time) on or prior to March 15, 2014 of such election, and any such notice must include the information, representations, acknowledgements and agreements required pursuant to “Settlement Method Election Conditions” below.
