Common use of Notice of Formation; Ownership of Subsidiaries Clause in Contracts

Notice of Formation; Ownership of Subsidiaries. Prior to the formation or acquisition of any Subsidiary, the Borrower will provide notice of such formation or acquisition to the Agents and the Lender, together with an updated Schedule 5.13 and Schedule 5.14 reflecting the addition of such Subsidiary. The Borrower will, and will cause each of its Subsidiaries to, take such action from time to time as shall be necessary to ensure that each of its Subsidiaries is a wholly owned Subsidiary formed under the laws of the United States or any state thereof.
