Notice of Impending Change in Control. The Company will not take any action that consummates or finalizes a Change in Control unless (i) at least 30 days prior to such action it shall have given to each holder of the Notes a Note written notice of such impending Change in Control, which notice shall (1) contain and constitute an offer to prepay the Notes as described in paragraph (c) below on the date of the Change in Control and (2) be accompanied by the certificate described in paragraph (f) below and (ii) contemporaneously with such Change in Control, the Company prepays the Notes pursuant to such offer and in accordance with this Agreement.
