Common use of Notice of Infringement or Third-Party Claims Clause in Contracts

Notice of Infringement or Third-Party Claims. If either Party becomes aware of any suspected infringement of any Licensed Patent by a third party in the Field of Use in the Territory, or (b) any claim that any Licensed Patent is invalid or unenforceable, such Party shall promptly notify the other Party and provide it with all details of such infringement or claim, as applicable, that are known by such Party.

If either Party becomes aware of any suspected infringement actual, suspected, or threatened infringement, misappropriation, or other violation of any Licensed Patent Intellectual Property and the Intellectual Property Rights by a any third party in the Field of Use in the Territory, or (b) any claim that any Licensed Patent patent licensed hereunder is invalid or unenforceable, such Party shall promptly notify the other Party and provide it with all details of such infringement or claim, as applicable, that are known by such Party.

If either Party becomes aware of (a) any suspected infringement by any third party of any Licensed AskGene Patent by Right as a third party in result of the Field research, development, manufacture, commercialization, or other exploitation of Use in the Territory, any product (“Competitive Infringement”); or (b) any claim by any third party that any Licensed AskGene Patent Right is invalid or unenforceable, such Party shall promptly notify the other Party in writing and provide it with all details of such infringement or claim, as applicable, that are known by such Party.
