Notice of Intellectual Property Infringement. Distributor shall promptly notify Conor in writing of any patent or copyright infringement or unauthorized use of Conor trade secrets or trademarks in the Territory of which Distributor becomes aware. Conor shall have the exclusive right in its sole discretion to institute any proceedings against such third party in its name and on its behalf. Distributor shall cooperate fully with Conor in any legal action taken by Conor against such third parties, provided that Conor shall pay all expenses of such action and all damage relating to damage suffered personally by Conor which may be awarded or agreed upon in settlement of such action shall accrue to Conor.

In the event that XXXX discovers or becomes aware of any infringement of any patent, copyright, Trademark or other intellectual property right of TULIP, or any unauthorized use of TULIP marks or materials, XXXX shall promptly notify TULIP in writing of the details of such infringement or unauthorized as soon as reasonably practical after XXXX becomes aware. TULIP shall have the exclusive right in its sole discretion to institute any proceedings against such third party in its name and on its behalf. XXXX shall cooperate fully with TULIP in any legal action taken by TULIP against such third parties, provided that TULIP shall pay all expenses of such action and all damage relating to damage suffered personally by TULIP which may be awarded or agreed upon in settlement of such action shall accrue to TULIP. Distributor shall cooperate fully with EFP in any legal action taken by EFP against such third parties, provided that EFP shall pay all expenses of such action and all damages which may be awarded or agreed upon in settlement of such action shall accrue to EFP.

BIOTRONIK shall promptly notify CONOR in writing of any patent or copyright infringement or unauthorized use of CONOR trade secrets or trademarks in the Territory of which BIOTRONIK has become aware. CONOR shall have the exclusive right in its sole discretion to institute any proceedings against such third party in its name and on its behalf. BIOTRONIK shall cooperate fully with CONOR in any legal action taken by CONOR against such third parties, provided that CONOR shall pay all expenses of such action and all damage relating to damage suffered personally by CONOR which may be awarded or agreed upon in settlement of such action shall accrue to CONOR.

Keystone reserves the right, in its sole discretion, to institute any proceedings against such third party infringers, and Distributor shall refrain from doing so. Distributor shall cooperate fully with Keystone in any legal action taken by Keystone against such third parties, provided that Keystone shall pay all expenses of such action and all damages which may be awarded or agreed upon in settlement of such action shall accrue to Keystone.

XXXXXXX shall promptly notify BIOMATERIALI in writing of any patent, copyright infringement or unauthorized use of BIOMATERIALI’s trade secrets or trademarks in the Territory of which XXXXXXX has become aware. BIOMATERIALI reserves the right in its sole discretion to institute any proceedings against such third party infringers in its name and on its behalf. XXXXXXX shall cooperate fully with BIOMATERIALI in any legal action taken by BIOMATERIALI against such third parties, provided that BIOMATERIALI shall pay all expenses of such action and all damages relating to damage suffered personally by BIOMATERIALI which may be awarded or agreed upon in settlement of such action shall accrue to BIOMATERIALI, without prejudice to the right of XXXXXXX to initiate any proceedings against third party infringers in order to obtain compensation for damages suffered.

Distributor shall promptly notify Principal in writing of any patent or copyright infringement or unauthorized use of Principal trade secrets or trademarks in the Territory of which Distributor becomes aware. Principal shall have the exclusive right in its sole discretion to institute any proceedings against such third party in its name and on its behalf. Distributor shall cooperate fully with Principal in any legal action taken by Principal against such third parties, provided that Principal shall pay all expenses of such action and all damage relating to damage suffered personally by Principal which may be awarded or agreed upon in settlement of such action shall accrue to Principal.

Restore reserves the right in its sole discretion to institute any proceedings against such third party infringers, and Distributor shall refrain from doing so. Distributor shall cooperate fully with Restore in any legal action taken by Restore against such third parties, provided that Restore shall pay all expenses of such action and all damages which may be awarded or agreed upon in settlement of such action shall accrue to Restore.

Distributor shall promptly notify Supplier in writing of any patent or copyright infringement or other unauthorized use of Supplier’s Intellectual Property Rights in the Territory of which Distributor becomes aware. Supplier shall have the exclusive right in its sole discretion to institute and pursue appropriate actions and proceedings against such third party in its name and on its behalf. Distributor shall reasonably cooperate with Supplier in any legal action taken by Supplier against such third parties, provided that Supplier shall pay all expenses of such action and all costs and liabilities relating to damage suffered personally by Supplier which may be awarded or agreed upon in settlement of such action shall accrue to Supplier.
