Notice of Material Proceedings. Within five (5) Business Days of any Authorized Officer of HVF obtaining actual knowledge thereof, HVF shall give the Trustee written notice of the commencement or existence of any proceeding by or before any Governmental Authority against or affecting HVF that is reasonably likely to have a Series 2013-G1 Material Adverse Effect.
