Notice of Offers. If a Selling Shareholder receives an Offer which it wishes to accept, it must immediately give written notice, including details of the proposed purchaser and the purchase price for the Shares, (the “Transfer Notice”) to the other Shareholder (the “Remaining Shareholder”) offering to sell those Shares which are the subject of the Offer to the Remaining Shareholder at the same cash price as set out in the Offer and on terms which are no less favourable than those contained in the Offer. The Transfer Notice must also state: (a) the period within which the offer to sell the Shares to the Remaining Shareholder shall remain open for acceptance. This period must be at least thirty (30) Business Days from the date of service of the Transfer Notice (the “Acceptance Period”); and (b) full details of all other terms and conditions of the Offer.
