Notice of Optional Prepayments. The Issuer will give notice of any prepayment of the Notes (other than the prepayments required by ss. 3.1) to NHLP, National, the Indenture Trustee and to each holder thereof not less than 30 days nor more than 60 days before the date fixed for such optional prepayment (the "Optional Prepayment Date") specifying (a) such date, (b) the Section of this Indenture under which the prepayment is to be made, (c) the principal amount of the holders' Notes to be prepaid on such Optional Prepayment Date, (d) that a Make-Whole Premium Amount may be payable, (e) the date when such Make-Whole Premium Amount will be calculated, (f) the estimated Make-Whole Premium Amount and (g) the accrued interest applicable to the prepayment. Such notice of prepayment shall also certify all facts which are conditions precedent to any such prepayment. Notice of prepayment having been so given, the aggregate principal amount of the Notes specified in such notice, together with the premium, if any, and accrued interest thereon shall become due and payable on the Optional Prepayment Date. Not more than two Business Days prior to the Optional Prepayment Date specified in such notice, the Issuer shall provide each holder of a Note written notice of the Make-Whole Premium Amount payable in connection with such prepayment, whether or not any Make-Whole Premium Amount is payable, together with a reasonably detailed computation thereof.

Notice of prepayment having been so given, the aggregate principal amount of the Notes specified in such notice, together with accrued interest thereon and the premiumMake-Whole Amount, if any, and accrued interest thereon payable with respect to such tranche shall become due and payable on the Optional Prepayment Dateprepayment date specified in said notice. Not more than two Two Business Days prior to the Optional Prepayment Date prepayment date specified in such notice, the Issuer Company shall provide each holder of a Note of the tranche to be prepaid written notice of the Make-Whole Premium Amount Amount, if any, payable in connection with such prepaymentprepayment and, whether or not any Make-Whole Premium Amount is payable, together with a reasonably detailed computation thereof.

Not more later than two three (3) Business Days prior to the Optional Prepayment Date prepayment date specified in such noticenotice (which shall be sent by facsimile transmission), the Issuer Company shall provide each holder of a Note written notice of the Make-Whole Premium Amount Amount, if any, payable in connection with such prepaymentprepayment and, whether or not any Make-Whole Premium Amount is payable, together with a reasonably detailed computation thereofof the Make-Whole Amount.

The Issuer Company will give notice of any prepayment of the Notes (other than the prepayments required by ss. 3.1pursuant to Section 4(b) or 4(c) to NHLP, National, the Indenture Trustee and each Holder of Notes to each holder thereof be prepaid not less than 30 days nor more than 60 days before the date fixed for such optional prepayment (the "Optional Prepayment Date") specifying (a) such date, (b) the Section of this Indenture Sixth Supplement under which the prepayment is to be made, (c) the principal amount of the holders' Holder's Notes to be prepaid on such Optional Prepayment Datedate, (d) that whether a Make-Whole Premium Amount premium may be payable, (e) the date when such Make-Whole Premium Amount the premium, if any, will be calculated, (f) the estimated Make-Whole Premium Amount premium, together with a reasonably detailed computation of such estimated premium, and (g) the accrued interest applicable to the prepayment. Such notice of prepayment shall also certify all facts facts, if any, which are conditions precedent to any such prepayment. Notice of prepayment having been so given, the aggregate principal amount of the Notes to be prepaid specified in such notice, together with accrued interest thereon and the premium, if any, and accrued interest thereon payable with respect thereto shall become due and payable on the Optional Prepayment Dateprepayment date specified in said notice. Not more later than two Business Days prior to the Optional Prepayment Date prepayment date specified in such notice, the Issuer Company shall provide each holder Holder of a Note to be prepaid written notice of the premium, if any, payable in connection with such prepayment and, whether or not any premium is payable, a reasonably detailed computation of the Make-Whole Premium Amount payable in connection with such prepayment, whether or not any Make-Whole Premium Amount is payable, together with a reasonably detailed computation thereofAmount.

Notice of Optional Prepayments. The Issuer will give notice of any prepayment of the Notes (other than the prepayments required by ss. 3.1) to NHLP, National, the Indenture Trustee and to each holder Holder thereof not less than 30 10 days nor more than 60 30 days before the date fixed for such optional prepayment (the "Optional Prepayment Date") specifying (ai) such datedate (which shall be a Business Day), (bii) the Section of this Indenture under which the prepayment is to be made, (c) the outstanding principal amount of the holders' Holder's Notes to be prepaid on such Optional Prepayment Datedate, (diii) that a Make-Whole Premium Amount premium may be payable, (eiv) the date when such Make-Whole Premium Amount premium will be calculated, (fv) the estimated Make-Whole Premium Amount premium, and (gvi) the accrued interest applicable to the prepayment. Such notice of prepayment shall also certify all facts facts, if any, which are conditions precedent to any such prepayment. Notice of prepayment having been so given, the aggregate principal amount of the Notes to be prepaid specified in such notice, together with accrued interest thereon and the premium, if any, and accrued interest thereon payable with respect thereto shall become due and payable on the Optional Prepayment Dateprepayment date specified in said notice. Not more later than two Business Days prior to the Optional Prepayment Date prepayment date specified in such notice, the Issuer Company shall provide each holder of a Note written notice by facsimile communication followed by delivery on the next succeeding Business Day by overnight air courier to each Holder of Notes to be prepaid of the amount of premium, if any, payable in connection with such prepayment and, whether or not any premium is payable, a reasonably detailed computation of the Make-Whole Premium Amount. In the event the Company shall incorrectly compute the Make-Whole Amount payable in connection with any Note to be prepaid pursuant to Section 5.2, or declared to be immediately due and payable pursuant to Section 6.3, the Holder shall not be bound by such prepaymentincorrect computation, whether or not any but instead shall be entitled to receive an amount equal to the correct Make-Whole Premium Amount is payableAmount, together if any, computed in compliance with a reasonably detailed computation thereofthe terms of this Agreement.

Notice of Optional Prepayments. Such notice of prepayment 164 shall also certify all facts facts, if any, which are conditions precedent to any such prepayment. Notice of prepayment having been so given, the aggregate principal amount of the Notes to be prepaid specified in such notice, together with accrued interest thereon and the premium, if any, and accrued interest thereon payable with respect thereto shall become due and payable on the Optional Prepayment Dateprepayment date specified in said notice. Not more later than two Business Days prior to the Optional Prepayment Date prepayment date specified in such notice, the Issuer Company shall provide each holder Holder of a Note to be prepaid written notice of the premium, if any, payable in connection with such prepayment and, whether or not any premium is payable, a reasonably detailed computation of the Make-Whole Premium Amount payable in connection with such prepayment, whether or not any Make-Whole Premium Amount is payable, together with a reasonably detailed computation thereofAmount.

Notice of Optional Prepayments. The Issuer Company will give notice of any prepayment of the Senior Notes (other than the prepayments required by ss. 3.1) pursuant to NHLP, National, the Indenture Trustee and Section 10.4 to each holder Holder thereof not less than 30 days 10 Business Days nor more than 60 days before the date fixed for such optional prepayment (the "Optional Prepayment Date") specifying (ai) such date, (b) the Section of this Indenture under which the prepayment is to be made, (cii) the principal amount of the holders' Holder’s Senior Notes to be prepaid on such Optional Prepayment Datedate, (diii) in the case of a MWA Senior Note, that a Make-Whole Premium Amount Amount, if any, may be payable, (eiv) in the case of a MWA Senior Note, the date when such Make-Whole Premium Amount Amount, if any, will be calculated, (fv) in the case of a MWA Senior Note, the estimated Make-Whole Premium Amount Amount, if any, and (gvi) the accrued interest applicable to the prepayment. Such notice of prepayment shall also certify all facts which are conditions precedent to any such prepayment. Notice of prepayment having been so given, the aggregate principal amount of the Senior Notes specified in such notice, together with accrued interest thereon and, in the premiumcase of a MWA Senior Note, the Make-Whole Amount, if any, and accrued interest thereon payable with respect thereto shall become due and payable on the Optional Prepayment Dateprepayment date specified in said notice. Not more later than two Business Days prior to the Optional Prepayment Date prepayment date specified in such notice, the Issuer Company shall provide each holder Holder of a MWA Senior Note written notice of the Make-Whole Premium Amount Amount, if any, payable in connection with such prepaymentprepayment and, whether or not any Make-Whole Premium Amount is payable, together with a reasonably detailed computation thereofof the Make-Whole Amount (which calculation shall be reasonably satisfactory to each Holder of the MWA Senior Notes to be prepaid).

Notice of Optional Prepayments. The Issuer Company will give notice of any prepayment of the Notes (other than the prepayments required by ss. 3.1) pursuant to NHLP, National, the Indenture Trustee and ss.2.2 to each holder thereof Holder not less than 30 days nor more than 60 days before the date fixed for such optional prepayment (the "Optional Prepayment Date") specifying (ai) such date, (b) the Section of this Indenture under which the prepayment is to be made, (cii) the principal amount of the holders' such Holder's Notes to be prepaid on such Optional Prepayment Datedate, (diii) that a Make-Whole Premium Amount premium may be payable, (eiv) the date when such Make-Whole Premium Amount premium will be calculated, (fv) the estimated premium based on a calculation of the Make-Whole Premium Amount with the Reinvestment Yield determined as of five Business Days prior to the date notice is given, and (gvi) the accrued interest applicable to the prepayment. Such notice of prepayment shall also certify all facts which are conditions precedent to any such prepayment. Notice of prepayment having been so given, the aggregate principal amount of the Notes specified in such notice, together with accrued interest thereon and the premium, if any, and accrued interest thereon payable with respect thereto shall become due and payable on the Optional Prepayment Dateprepayment date specified in said notice. Not more later than two Business Days prior to the Optional Prepayment Date prepayment date specified in such notice, the Issuer Company shall provide each holder of a Note Holder written notice of the premium, if any, payable in connection with such prepayment and, whether or not any premium is payable, a reasonably detailed computation of the Make-Whole Premium Amount payable in connection with such prepayment, whether or not any Make-Whole Premium Amount is payable, together with a reasonably detailed computation thereofAmount.

Notice of Optional Prepayments.
