Notice of Other Events. Within five (5) Business Days after the Borrower obtains Knowledge thereof, a statement of an Authorized Officer of the Borrower setting forth details of: (i) any litigation or governmental proceeding pending or threatened in writing against the Borrower or the Project that has or could reasonably be expected to have a Material Adverse Effect; (ii) any litigation or governmental proceeding pending or threatened in writing against any Project Party that has or could reasonably be expected to have a Material Adverse Effect; (iii) any other event, act or condition that has or could reasonably be expected to have a Material Adverse Effect; (iv) notification of any event of force majeure or similar event under a Project Document that has or could reasonably be expected to have a Material Adverse Effect; or (v) notification of any other change in circumstances that could reasonably be expected to result in an increase of more than three hundred thousand Dollars ($300,000) in Project Costs.
