Notice of prepayment; reduction of repayment instalments. No prepayment may be effected under clause 5.2 unless the Borrower shall have given the Bank at least thirty (30) Banking Days notice of its intention to make such prepayment. Every notice of prepayment shall be effective only on actual receipt by the Bank, shall be irrevocable, shall specify the amount to be prepaid and shall oblige the Borrower to make such prepayment on the date specified. No amount prepaid may be reborrowed and any amount prepaid pursuant to clause 5.2 shall be applied in reducing the repayment instalments under clause 5.1 in direct order of their due dates for payment whilst any amount prepaid pursuant to clause 5.8 shall be applied in reducing the repayment instalments under clause 5.1 in inverse order of their due dates for payment and any amount prepaid pursuant to clause 9.2.1 shall be applied in reducing the repayment instalments under clause 5.1 proportionately. The Borrower may not prepay the Loan or any part thereof save as expressly provided in this Agreement.

Every notice of prepayment shall be effective only on actual receipt by the BankAgent, shall be irrevocable, shall specify the amount to be prepaid and shall oblige the Borrower to make such prepayment on the date specified. No amount of Facility A which is prepaid may be reborrowed and any amount or the Loan prepaid pursuant to clause 5.2 4.3 or clause 8.2.1 shall be applied in the case of a prepayment of Facility A in reducing the repayment instalments under clause 5.1 4.1 on a pro rata basis and in direct order the case of their due dates for payment whilst any amount prepaid pursuant a prepayment of Facility B (but subject to clause 5.8 shall be applied 4.2.3) in reducing the repayment instalments under clause 5.1 in inverse order of their due dates for payment and any amount prepaid pursuant to clause 9.2.1 shall be applied in reducing the repayment instalments under clause 5.1 proportionately4.2.1 on a pro-rata basis. Any amount prepaid pursuant to under clause 5.8 8.4 shall be applied in reducing the repayment instalments under clause 5.1 4.1 (including the Balloon Instalment) in inverse order of their due dates for payment and any amount prepaid pursuant to clause 9.2.1 shall be applied in reducing the repayment instalments under clause 5.1 proportionatelymaturity. The Borrower may not prepay the Loan or any part thereof save as expressly provided in this Agreement.
