Each Borrower shall, as soon as possible, and in any event within five (5) days after such Borrower learns of the following, give written notice to the Banks of (a) any material proceeding(s) being instituted or threatened to be instituted by or against any Borrower or any Subsidiary in any federal, state, local or foreign court or before any commission or other regulatory body (federal, state, local or foreign), (b) any material adverse change in the business, Property or condition, financial or otherwise of any Borrower and (c) the occurrence of any Potential Default or Event of Default.

The Company shall, as soon as possible, and in any event within five (5) Business Days after an executive officer of the Company learns of the following, give written notice to the Agent of (a) any material proceeding(s) being instituted by or against the Company or any Subsidiary in any federal, state, local or foreign court or before any commission or other regulatory body (federal, state, local or foreign), (b) any Material Adverse Change, and (c) the occurrence of any Event of Default hereunder or any event of default under, and as defined in, the Foothill Agreement.

Further, pursuant to any statute of any state, territory or district of the United States which makes provision therefor, Reinsurers hereon hereby designate the Superintendent, Commissioner or Director of Insurance or other officer specified for that purpose in the statute, or his successor or successors in office, as their true and lawful attorney upon whom may be served any lawful process in any action, suit or proceeding instituted by or on behalf of the Company or any beneficiary hereunder arising out of this agreement or reinsurance, and hereby designate the above-named as the person to whom the said officer is authorised to mail such process or a true copy thereof.
