Common use of Notice of Termination Date of Termination Clause in Contracts

Notice of Termination Date of Termination. Any termination of the Employee's employment, other than by reason of his death, shall be communicated by the terminating party by a written notice of termination (the "Notice of Termination"). The Notice of Termination shall (i) indicate the specific termination provision in this Agreement upon which the termination is based, (ii) set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Employee's employment under the provision so indicated, and (iii) specify the Date of Termination. For purposes of this Agreement, "Date of Termination" shall mean (i) if the Employee's employment is terminated by his death, the date of his death, and (ii) in all other cases, the later of the date of actual receipt of the Notice of Termination and the date specified in such notice. The Date of Termination shall not occur prior to the completion of the cure period described in Section 5(c) if termination is for Cause.
