NOTICE OF UNAUTHORIZED USE OR BREACH. Neither the Consortium nor the Members are liable to the Licensor in respect of any such unauthorized use so long as such reasonable efforts were made.
NOTICE OF UNAUTHORIZED USE OR BREACH. Upon becoming aware of any unauthorized use or other breach, the Licensor, Consortium, and Member will inform the others and take reasonable and appropriate steps to both ensure that such activity ceases and to prevent any recurrence. The Licensor, Consortium, and Member agree to cooperate in good faith and to provide sufficient exchange of information to prevent any further unauthorized use. The Licensor reserves the right to temporarily suspend any Member Institution’s access to Licensed Materials for infringement of the Licensor’s intellectual property rights in

Neither the Consortium nor the Members are liable to the Licensor in respect of any such unauthorized use provided that Member has given Licensor notice of any suit or threatened suit for infringement brought against them within twenty (20) days of the day of service of the complaint upon them or from the receipt by them of notice of a threatened suit and further provided that Licensor shall control the defense of any such suit. Licensor shall not be liable hereunder if (i) any infringement or violation claim is based solely upon the use of the Licensed Materials in combination with programs, equipment or devices not of Licensor origin, design or selection; or (ii) any infringement or violation claim arises out of your use of the Licensed Products in a manner contrary to the rights granted in the Agreement, including use contrary to intellectual property law.
