Notice Regarding Certain Actions. From the date of this Agreement until the Closing or earlier termination of this Agreement, Sellers shall provide notice in writing to Buyer no later than two Business Days prior to the taking by Sellers, or, to the extent Sellers are aware, by any of the Archstone Entities, of any of the following actions, other than any such action set forth on Section 10.1 of the Disclosure Schedules: (a) any vote on or taking of any action with respect to any Major Matter or Special Major Matter under the Voting Agreement, including the approval of any budget with respect to the Archstone Entities, (b) any declaration, setting aside or payment of any dividend or the making of any distribution with respect to the Equity Interests of any Archstone Entity, whether in cash or in property (other than to any other Archstone Entity), and (c) any redemption, purchase or other acquisition of any Equity Interests of any Archstone Entity, other than with respect to a direct or indirect wholly-owned Subsidiary of a Primary Archstone Entity, and redemptions of Series O Preferred Units of Archstone upon exercise of put rights by the holders thereof.

Notice Regarding Certain Actions. Millennium shall give Speaking Roses prompt notice of any written demand received by it prior to the Closing Date to require Millennium (or SRI, as the case may be) to purchase shares of capital stock pursuant to Chapter 92A of the Nevada Revised Statutes or Section 1301 et. seq. of the Utah Revised Business Corporation Act, and of any other demand, notice or instrument delivered to Millennium prior to the Closing Date pursuant to the corporate laws of the State of Nevada or Utah, and the opportunity to participate in all negotiations and proceedings with respect to any such demand, notice or instrument. Millennium shall not make any payment or settlement offer prior to the Closing Date with respect to any such demand unless Speaking Roses shall have consented in writing to such payment or settlement offer.

  • Covenants Regarding Information (a) From the date hereof until the Closing Date, subject to the Confidentiality Agreement, upon reasonable notice, the Seller shall and shall cause the Companies and their Subsidiaries to, afford the Buyer and its Representatives and the Financing Sources reasonable access to the properties, offices, plants and other facilities, books and records of the TS Business, and furnish the Buyer with such financial, operating and other data and information as the Buyer may reasonably request; provided, however, that any such access or furnishing of information shall be conducted at the Buyer’s expense, during normal business hours, under the supervision of the Seller’s personnel and in such a manner as not unreasonably to interfere with the normal operations of the TS Business. Notwithstanding anything to the contrary in this Agreement, none of the Seller, the Companies or any of their Subsidiaries shall be required to disclose any information to the Buyer or its Representatives or the Financing Sources if (i) such disclosure would jeopardize any attorney-client or other legal privilege, unless the Buyer agrees to enter into a joint defense agreement or other similar agreement that would reasonably be expected to preserve such privilege, (ii) such disclosure would contravene any applicable Laws, fiduciary duty or binding agreement entered into prior to the date hereof (provided, that the Seller shall use reasonable best efforts to obtain a consent from any applicable third-party to share such information) or (iii) such information relates to any consolidated, combined or unitary Return filed by the Seller, the Companies or any of their Affiliates or any of their respective predecessor entities. No information or knowledge obtained in any investigation by the Buyer or other information received by the Buyer pursuant to Section 5.3(a) shall operate as a wavier or be deemed to modify or otherwise affect any representation, warranty or agreement contained herein or in any Ancillary Agreement or certificate, document or other instrument delivered in connection herewith, the conditions to the obligations of the Parties to consummate the Closing in Article VI or otherwise prejudice in any way the rights and remedies of the Buyer hereunder, nor shall any such information, knowledge or investigation be deemed to affect or modify the Buyer’s reliance on the representations, warranties, covenants and agreements made by the Seller herein.

  • Certain Accounting Matters (a) At all times during the existence of the Trust, the Administrative Trustees shall keep, or cause to be kept at the principal office of the Trust in the United States, as defined for purposes of Treasury Regulations section 301.7701-7, full books of account, records and supporting documents, which shall reflect in reasonable detail each transaction of the Trust. The books of account shall be maintained on the accrual method of accounting, in accordance with generally accepted accounting principles, consistently applied.

Judgment upon any arbitration award hereunder may be entered in any court having jurisdiction thereof.

  • Certain Financial Information Within twenty-five (25) Business Days after the end of each month between the date hereof and the earlier of the Closing Date and the date on which this Agreement is terminated, the Company shall deliver to Parent unaudited consolidated financial information for such month and management commentary on the business performance during such month.
