Borrower agrees to give Lender prompt written notice of any action or inaction by Lender in connection with this Loan Agreement or the Obligations that Borrower believes may be actionable against Lender or a defense to payment of Obligations for any reason, including, but not limited to, commission of a tort or violation of any contractual duty or duty implied by law.
