Any notice, communication, payment or demand required or permitted to be given or made hereunder shall be in writing and will be deemed to have been given or made for all purposes if (i) delivered personally (effective upon delivery), (ii) mailed by U.S. mail, registered or certified, postage prepaid, return receipt requested (effective two days after mailing), (iii) sent by a national overnight delivery service (effective one day after delivery to such delivery service), or (iv) sent by telecopy (effective upon confirmation of transmission), in each case, addressed as indicated on the stock transfer records of the Corporation.
