The Company has delivered to the Depositary and the Custodian a copy of the provisions of or governing the Shares and any other Deposited Securities issued by the Company or any affiliate of the Company, and promptly upon any amendment thereto or change therein, the Company shall deliver to the Depositary and the Custodian a copy in English of such provisions as so amended or changed. The Depositary may rely relay upon such copy for all purposes of this Agreement. The Depositary will, at the expense of the Company, make such copy and such notices, reports and other communications available for inspection by Holders at the Depositary's ’s Office, at the office of the Custodian and at any other designated transfer offices.

Notices and Reports to Holders. On or before No later than the first date on which notice is given by the Company gives noticeCompany, by publication or otherwise, of any corporate action including, without limitation, any meeting of holders of Shares or other Deposited Securities, or of any adjourned meeting of such holders, or of the taking of any action by such holders in respect of any cash or other than at a meetingdistributions or the offering of any rights in respect of Deposited Securities, the Company shall agrees to transmit to the Custodian Depositary a an English language version copy of the notice thereof in the form given or to be given to holders of such Shares or other Deposited Securities. The To the extent required by the rules and regulations of the Securities and Exchange Commission or the rules and regulations of the NYSE or any other securities exchange or market upon which the ADSs may be listed or traded, the Company will also promptly transmit arrange for the translation into English and the prompt transmittal to the Custodian English language versions Depositary of a sufficient number of copies of such notices and of any report other notices, reports and other communications that which are generally made generally available by the Company to holders of its Shares or other Deposited Securitiesto enable the Depositary to mail copies thereof to all Holders in a timely manner. The Depositary willshall make such communications available to Holders in accordance with Paragraph (10) of the Form of ADR; provided, at that, upon the Company's expensereasonable request of the Depositary, the Company shall first deliver to the Depositary an opinion of U.S. counsel stating that the distribution of such communication does not violate U.S. laws. The Depositary will arrange for the prompt transmittal by the Custodian to the Depositary of such notices, notices and any other reports and other communications and arrange for which are received by the mailingCustodian as the holder of the Deposited Securities and, at the Company's expense, of copies thereof (or if so requested by the Company, a summary arrange for the prompt mailing of any such notice provided by the Company) copies thereof to all Holders or, at to the request extent not previously mailed as provided in the immediately preceding paragraph or arrange for the mailing of proper documentation seeking instructions from the Holders as to the action they wish the Depositary to take in respect of Deposited Securities represented by the ADSs evidenced by the ADRs held by such Holders. Subject to Paragraph (9) of the CompanyForm of ADR, make such notices, reports and other communications available to all Holders on a basis similar to that for holders of Shares or other Deposited Securities, or on such other basis as the Company may advise the Depositary may mailings shall be required by any applicable law, regulation or stock exchange requirement.
