Notices by Agent. Agent shall give prompt notice to each Bank of its receipt of each notice or request required or permitted to be given to Agent by Company pursuant to the terms of this Agreement and shall promptly distribute to the Banks any reports received from the Company or any of its Subsidiaries under the terms hereof, or other material information or documents received by Agent, in its capacity as Agent, from the Company or its Subsidiaries.

Promptly after receipt by the Agent of any Notice of Drawdown, Notice of Conversion or a Notice of Rollover, the Agent shall advise each relevant Lender of the amount, date and details of each Drawdown, Conversion and Rollover to which such notice relates and of such Lender’s share in each Borrowing, as determined by the Agent in accordance with the provisions of Sections 12.8(b) and 12.8(c).

Notices by Agent. Notwithstanding anything contained in this lease to the contrary (including but not limited to notices referred to in Articles 17 and 28) , wherever reference is made to Owner or Tenant serving any notice upon the other under this Lease, any notice served by the notifying party's agent or attorney shall be deemed as if such notice was served by the notifying party.

Prior to the expiration of the Initial Sharing Term, Agent shall give the AVS Investor Trustee copies of any written notices of foreclosure, exercise of remedies and any other written notice of a like nature relating to the Property, including, without limitation, any such notice which may be given under or pursuant to the terms of the Syndicated Loan Documents or pursuant to law, which Agent hereafter may give to any Debtor or Owner, concurrently with, or as soon as practicable after, the giving of such notice to such Debtor or Owner.
