Common use of Notices by the Company Clause in Contracts

Notices by the Company. The Company shall promptly notify the Trustee, each Paying Agent and the Representative of any facts known to the Company that would cause a payment on the Subordinated Debt to violate this Article, but failure to give such notice shall not affect the subordination provided in this Article of the Securities to Senior Indebtedness. Without limiting the foregoing, if payment of the Securities is accelerated because of an Event of Default, the Company shall promptly notify the Representative of the acceleration.

The Company shall promptly notify the Trustee, each Paying Agent and the Representative Principal Agent of any facts known to the Company that would cause a payment on the Subordinated Debt Security Payment to violate this Article, but failure to give such notice shall not affect the subordination provided in this Article of the Subordinated Debt Securities to Senior Indebtedness. Without limiting the foregoing, if payment of the Subordinated Debt Securities is accelerated because of an Event of Default, the Company shall promptly notify the Representative Principal Agent of the acceleration.
