NOTICES, DEFAULT, ETC. In the event that Agents shall have acquired actual knowledge of any Unmatured Event of Default or Event of Default, Agents shall promptly notify the Banks and shall take such action and assert such rights under this Agreement as the Majority Banks shall direct and Agents shall inform the other Banks in writing of the action taken. Agents may take such action and assert such rights as it deems to be advisable, in its discretion, for the protection of the interests of the holders of the Notes.
