Notices of Certain Events. In addition to any other notice required to be given by the terms of this Agreement, each of the Parties shall promptly notify each of the other Parties hereto of:
(a) any notice or other communication from any Person person alleging that the consent of such Person person is or may be required in connection with any of the Transactionstransactions contemplated by this Agreement;
(b) any notice or other communication from any governmental or regulatory agency or authority in connection with the Transactionstransactions contemplated by this Agreement; and
(c) any actions, suits, claims, investigations or proceedings commenced or, to its knowledge threatened against, relating to or involving or otherwise affecting such Party that, if pending on the date of this Agreement, would have been required to have been disclosed pursuant hereto or that relates relate to the consummation of the Transactionstransactions contemplated by this Agreement.
