Notices; Reports. BOP will promptly notify GBB of any event of ---------------- which BOP obtains knowledge which has had or may have a materially adverse effect on the financial condition, operations, business or prospects of BOP, or in the event that BOP determines that it is unable to fulfill any of the conditions to the performance of GBB's obligations hereunder, as set forth in Articles 9 or 11 herein, and BOP will furnish GBB (i) as soon as available, and in any event within one Business Day after it is mailed or delivered to the Board of Directors of BOP or committees thereof, any report by BOP for submission to the Board of Directors of BOP or committees thereof, provided, however, that BOP need not furnish to GBB communications of BOP's legal counsel regarding BOP's rights and obligations under this Agreement or the transactions contemplated hereby, or books, records and documents covered by confidentiality agreements or the attorney-client privilege, or which are attorneys' work product, (ii) as soon as available, all proxy statements, information statements, financial statements, reports, letters and communications sent by BOP to its shareholders or other security holders, and all reports filed by BOP with the FDIC or the DFI, and (iii) such other existing reports as GBB may reasonably request relating to BOP.

BOP BSC will promptly notify GBB of any event of ---------------- which BOP BSC obtains knowledge which has had or may have a materially adverse effect on the financial condition, operations, business or prospects of BOPBSC on a consolidated basis, or in the event that BOP BSC determines that it is unable to fulfill any of the conditions to the performance of GBB's obligations hereunder, as set forth in Articles 9 or 11 herein, and BOP BSC will furnish GBB (i) as soon as available, and in any event within one Business Day after it is mailed or delivered to the Board of Directors of BOP BSC or committees thereof, any report by BOP BSC for submission to the Board of Directors of BOP BSC or committees thereof, provided, however, that BOP BSC need not furnish to GBB communications of BOPBSC's legal counsel regarding BOPBSC's rights and obligations under this Agreement or the transactions contemplated hereby, or books, records and documents covered by confidentiality agreements or the attorney-client privilege, or which are attorneys' work product, (ii) as soon as available, all proxy statements, information statements, financial statements, reports, letters and communications sent by BOP BSC to its shareholders or other security holders, and all reports filed by BOP BSC with the FDIC or the DFI, and (iii) such other existing reports as GBB may reasonably request relating to BOPBSC.

BOP Coast will promptly notify GBB of any event of ---------------- which BOP Coast obtains knowledge which has had or may have a materially adverse effect on the financial condition, operations, business or prospects of BOPCoast on a consolidated basis, or in the event that BOP Coast determines that it is unable to fulfill any of the conditions to the performance of GBB's obligations hereunder, as set forth in Articles 9 or 11 herein, and BOP Coast will furnish GBB (i) as soon as available, and in any event within one Business Day after it is mailed or delivered to the Board of Directors of BOP Coast or CCB or committees thereof, any report by BOP Coast or CCB for submission to the Board of Directors of BOP Coast or CCB or committees thereof, provided, however, that BOP Coast need not furnish to GBB communications of BOPCoast's legal counsel regarding BOPCoast's rights and obligations under this Agreement or the transactions contemplated hereby, or books, records and documents covered by confidentiality agreements or the attorney-client privilege, or which are attorneys' work product, (ii) as soon as available, all proxy statements, information statements, financial statements, reports, letters and communications sent by BOP Coast to its shareholders or other security holders, and all reports filed by BOP Coast or CCB with the FRB, the FDIC or the DFI, and (iii) such other existing reports as GBB may reasonably request relating to BOPCoast or CCB.
