Notices; Reports. GBB will promptly notify BAB of any event of ---------------- which GBB obtains knowledge which has had or may have a material adverse affect on the financial condition, operations, business or prospects of GBB on a consolidated basis or in the event that GBB determines that it is unable to fulfill any of the conditions to the performance of BAB's obligations hereunder, as set forth in Article 9 or 10 herein.
