Common use of Notices to the Trustees Clause in Contracts

Notices to the Trustees. If the Company elects to redeem Notes pursuant to Section 5 of the Notes, it shall notify the Trustees in writing of the redemption date and the principal amount of Notes to be redeemed. The Company shall give each notice to the Trustees provided for in this Section 3.1 at least 60 days before the redemption date unless the Trustees consent to a shorter period. Such notice shall be accompanied by an Officers’ Certificate and an Opinion of Counsel from the Company to the effect that such redemption shall comply with the conditions herein. Any such notice may be canceled by written notice of the Company to the Trustees at any time prior to notice of such redemption being mailed to any Holder pursuant to Section 3.4 and shall thereby be void and of no effect.
