Common use of Notification by FNWL Clause in Contracts

Notification by FNWL. FNWL agrees to advise Distributor immediately of: (1) Any request by the SEC (i) for amendment of the Registration Statement or (ii) for additional information that FNWL determines is material to Distributor; (2) The issuance by the SEC of any stop order suspending the effectiveness of the Registration Statement or the initiation of any proceedings for that purpose; and (3) The occurrence of any event, if known by FNWL, that makes untrue any material statement made in the Registration Statement or that requires the making of a change therein in order to make any material statement made therein not misleading.
