Notification by Seller of Certain Matters. During the period prior to the Closing Date, Seller will promptly advise Buyer in writing of (a) any Material Adverse Change in the Acquired Companies or the condition of their assets, (b) any written notice or other formal communication from any third Person alleging that the Consent of such third Person is or may be required in connection with the Contemplated Transactions and (c) any material default of which Seller has Knowledge under any Applicable Contract or event of which Seller has Knowledge which, with notice or lapse of time or both, would become such a default on or prior to the Closing Date.
Notification by Seller of Certain Matters. Throughout the period beginning on the date hereof and ending on the earlier of the Closing Date and the date on which this Agreement shall have been terminated pursuant to Section 10.1, Seller shall notify Buyer in writing of any fact or development that, to Seller's knowledge, causes or constitutes a breach of any of Seller's representations or warranties set forth herein.

During the period before the Closing, either Party shall advise the other as soon as reasonably possible or practical in writing of any material adverse change in the condition of Parcel B that comes to its attention, the discovery of any fact or event which would render any representation or warranty of such Party in this Agreement untrue or materially misleading, and the receipt of any written notice or other communication from any third person alleging that the consent of such third person is or may be required in connection with the transactions contemplated by this Agreement.
Notification by Seller of Certain Matters. During the period prior to the Closing Date, Seller will promptly advise Buyer in writing of any material adverse change in the condition of the Assets or the Business or any event or development of which the Seller has Knowledge and which renders or is reasonably likely to render any representation or warranty contained in Article V inaccurate as of the Closing Date in any material respect.
Notification by Seller of Certain Matters. Seller shall give prompt notice to Buyer of any fact, event or circumstance known to Seller that (a) is reasonably likely, individually or taken together with all other facts, events and circumstances known to it, to result in any Material Adverse Effect, (b) would cause or constitute a material breach of any of its representations, warranties, covenants or agreements contained herein or (c) would make it impossible for Seller to consummate the transactions contemplated by this Agreement. Notwithstanding anything contained herein to the contrary, no such notice given by the Seller shall relieve any breach of Seller under this Agreement.

Seller may, at the Closing, notify Buyer in one or more of the certificates to be delivered pursuant to Section 6.1.3, in reasonable detail of any representation or warranty of Seller that was not true and correct as of the date of this Agreement or as of the Closing or of any covenant of Seller that has not been performed and complied with and, if Buyer shall nevertheless close under this Agreement, none of the matters set forth in such certificate shall be deemed to be an inaccuracy in or breach of any of the representations and warranties or covenants of Seller herein for purposes of, and Buyer shall not be entitled to be indemnified as to any of such matters pursuant to, this Article VII.
