Notification by the Company of Certain Matters. During the period prior to the Effective Time, the Company shall promptly advise Parent in writing of (i) any change or event of which the Company has knowledge that could have a Material Adverse Effect on the Company, (ii) any notice or other communication from any third Person alleging that the consent of such third Person is or may be required in connection with the transactions contemplated by this Agreement, and (iii) any material default under any Company Agreement or event which, with notice or lapse of time or both, would become such a default on or prior to the Effective Time and of which the Company has knowledge.
