Common use of Notification of Claims under this Agreement Clause in Contracts

Notification of Claims under this Agreement. Notices of claims under this Agreement or any relevant Local Transfer Document for breach of any Seller’s Warranty (other than a Tax Warranty) shall be given by the Purchaser to the relevant Seller within the time limits specified in Clause 10.2 and shall specify information (giving reasonable detail) in relation to the basis of the claim and setting out the Purchaser’s estimate of the amount of Losses which are, or are to be, the subject of the claim.

Notices of claims under this Agreement (other than the Tax Warranties) or any relevant Local Transfer Document for breach of any Seller’s Warranty (other than a Tax Warranty) shall be given by the Purchaser to the relevant Seller within the time limits specified in Clause 10.2 and shall specify information 10.1, specifying (giving reasonable detail) in relation to the extent available to the Relevant Purchaser) information of the legal and factual basis of the claim and setting out the Purchaser’s and, if practicable, an estimate of the amount of Losses which are, or are to be, the subject of the claimclaim (including any Losses which are contingent on the occurrence of any future event).
