Common use of Notification of Defects Clause in Contracts

Notification of Defects. Vertical shall notify Mikart in writing (a) within thirty (30) days after delivery to Vertical of any non-conforming Product containing obvious defects discoverable without affecting the integrity of such Product’s packaging and (b) within sixty (60) days of the later of its discovery or its notification by a third party of any latent defects. Vertical shall be responsible for any costs of performing testing and inspection of such Product incurred by it.
