Common use of Notification of License Transfer Clause in Contracts

Notification of License Transfer. Registered Affiliate must notify Microsoft of a License transfer by completing a license transfer form, which can be obtained from xxxx://xxx.xxxxxxxxx.xxx/licensing/contracts, and sending the completed form to Microsoft before the License transfer. No License transfer will be valid unless the Registered Affiliate provides to the transferee, and the transferee accepts in writing, the applicable Use Rights, use restrictions, limitations of liability (including exclusions and warranty provisions), and the transfer restrictions described in this section. Any License transfer not made in compliance with this section will be void and Registered Affiliate must either return or destroy the licensed copies.
