Notification of Potential Claims. Without prejudice to the obligations of the Purchaser under Clause 11.2, if the Purchaser or any Group Company becomes aware of any fact, matter or circumstance that may give rise to a Claim or Tax Claim, the Purchaser shall as soon as reasonably practicable and in any event no later than 60 days after the date the Purchaser becomes aware of such fact, matter or circumstance, give a notice in writing to the Seller setting out such information as is available to the Purchaser or relevant Group Company. Failure to give notice within such period shall not affect the rights of the Purchaser except to the extent that the Seller is prejudiced by the failure.

Failure to give notice within such period shall not affect the rights of the Purchaser except to the extent that the any Seller is prejudiced by the failure.
