Common use of Notification of Purchase Price Adjustment Clause in Contracts

Notification of Purchase Price Adjustment. Upon the calculation of the Purchase Price Adjustment pursuant to Section 1.02(b) hereof, if any, and within 10 days prior to the Closing, GRS shall notify the Stockholders in writing of its determination of the Purchase Price Adjustment, if any, and the cash portion of the Purchase Price to be paid to the Stockholders on the Closing Date (the "Purchase Price Notice"), subject to Section 1.04(b) below.
