Common use of Notification to Governmental Authorities Clause in Contracts

Notification to Governmental Authorities. Purchaser shall, as promptly as practicable after the Closing, and in any event not later than the earlier of (i) 60 calendar days after the Closing Date and (ii) the expiration date of the applicable notification period, notify each Governmental Authority which requires such notification and (x) which is responsible for the regulatory supervision and administration of each of the Target Companies or (y) which otherwise requires notification of the transactions contemplated by this Agreement.
