Common use of Notification to the Advisor Clause in Contracts

Notification to the Advisor. The Subadvisor promptly shall notify the Advisor in writing of the occurrence of any of the following events: (a) the Subadvisor shall fail to be registered as an investment advisor under the Investment Advisers Act of 1940, as amended; (b) the Subadvisor shall have been served or otherwise have notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, involving the affairs of the Fund; or (c) a material violation of the Subadvisor's Code of Ethics is discovered and, again, when action has been taken to rectify such violation; or (d) any other event, including but not limited to, a change in executive personnel or the addition or loss of major clients of the Subadvisor that might affect the ability of the Subadvisor to provide the services provided for under this Agreement.

Notification to the Advisor. The Subadvisor promptly shall notify the Advisor in writing of the occurrence of any of the following events: (a) the Subadvisor shall fail to be registered as an investment advisor under the Investment Advisers Act of 1940, as amended; (b) the Subadvisor shall have been served or otherwise have notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, involving the affairs of the Fund; or (c) a material violation of the Subadvisor's Code of Ethics is discovered and, again, when action has been taken to rectify such material violation; or (d) any other event, including but not limited to, a change in executive personnel or the addition or loss of major clients of the Subadvisor that might affect the ability of the Subadvisor to provide the services provided for under this Agreement.

Notification to the Advisor. The Subadvisor promptly shall notify the Advisor in writing of the occurrence of any of the following events: (a) the Subadvisor shall fail to be registered as an investment advisor adviser under the Investment Advisers Act of 1940, as amended; (b) the Subadvisor shall have been served or otherwise have notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, involving the affairs of the Fund; or (c) a material violation of the Subadvisor's Code of Ethics is discovered and, again, when action has been taken to rectify such violation; or (d) any other event, including but not limited to, a change in executive personnel or the addition or loss of major clients of the Subadvisor that might affect the ability of the Subadvisor to provide the services provided for under this Agreement, or (e) any change in personnel of the Subadvisor that are responsible for the material investment advisory services provided herein.

The Subadvisor promptly shall notify the Advisor in writing of the occurrence of any of the following events: (a) the Subadvisor shall fail to be registered as an investment advisor under the Investment Advisers Advisors Act of 1940, as amended; (b) the Subadvisor shall have been served or otherwise have notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, involving the affairs of the Fund; or/Trust; (c) a material violation of the Subadvisor's ’s Code of Ethics is discovered and, again, when action has been taken to rectify such violation; or (d) any other event, including but not limited to, a change in executive personnel or the addition or loss of major clients of the Subadvisor that might affect the ability of the Subadvisor to provide the services provided for under this Agreement.

The Subadvisor promptly shall notify the Advisor in writing of the occurrence of any of the following events: (a) the Subadvisor shall fail to be registered register as an investment advisor under the Investment Advisers Advisors Act of 1940, as amended; (b) the Subadvisor shall have been served or otherwise have notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, directly involving the affairs of the Fund; or; (c) a material violation of the Subadvisor's Code of Ethics is discovered and, again, when action has been taken to rectify such violationviolations; or (d) any other event, including but not limited to, a change in executive personnel or the addition or loss of major clients of the Subadvisor that might affect the ability of the Subadvisor to provide the services Services provided for under this Agreement.

The Subadvisor promptly shall notify the Advisor in writing of the occurrence of any of the following events: (a) the Subadvisor shall fail to be registered as an investment advisor under the Investment Advisers Act of 1940, as amended; (b) the Subadvisor shall have been served or otherwise have notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, involving the affairs of the Fund; or (c) a material violation of the Subadvisor's Code of Ethics is discovered and, again, when action has been taken to rectify such violation; or (d) any other event, including but not limited to, a change in executive personnel or the addition or loss of major clients of the Subadvisor that might materially affect the ability of the Subadvisor to provide the services provided for under this Agreement.

Notification to the Advisor. The Subadvisor promptly shall notify the Advisor in writing of the occurrence of any of the following events: (a) the Subadvisor shall fail to be registered qualify as an investment advisor a "bank" under the Investment Advisers Advisors Act of 1940, as amended; (b) the Subadvisor shall have been served or otherwise have notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, directly involving the affairs of the Fund; or; (c) a material violation of the Subadvisor's Code of Ethics is discovered and, again, when action has been taken to rectify such violationviolations; or (d) any other event, including but not limited to, a change in executive personnel or the addition or loss of major clients of the Subadvisor that might affect the ability of the Subadvisor to provide the services Services provided for under this Agreement.

Notification to the Advisor. The Subadvisor promptly shall notify the Advisor in writing of the occurrence of any of the following events: (a) the Subadvisor shall fail to be registered as an investment advisor under the Investment Advisers Act of 1940, as amended; (b) the Subadvisor shall have been served or otherwise have notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, involving the affairs of the Fund; or (c) a material violation of the Subadvisor's Code of Ethics is discovered and, again, when action has been taken to rectify such violation; or (d) any other event, including but not limited to, a change in executive personnel or the addition or loss of major clients of the Subadvisor that might affect will impair the ability of the Subadvisor to provide the services provided for under this Agreement.

Notification to the Advisor. The Subadvisor promptly shall notify the Advisor in writing of the occurrence of any of the following events: (a) the Subadvisor shall fail to be maintain its status as a registered as an investment advisor under adviser pursuant to the Investment Advisers Advisors Act of 1940, as amended; (b) the Subadvisor shall have been served or otherwise have notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, directly involving the affairs of the Fund; or; (c) a material violation of the Subadvisor's Code code of Ethics ethics is discovered and, again, when action has been taken to rectify such violationviolations; or (d) any other event, including but not limited to, a change in executive personnel or the addition or loss of major clients of the Subadvisor that might affect the ability of the Subadvisor to provide the services Services provided for under this Agreement.
