Common use of Notional Shares Clause in Contracts

Notional Shares. Shares held by Affiliates and Associates of an Acquiring Person, and Notional Shares held by counterparties to a Derivatives Contract with an Acquiring Person, will be deemed to be beneficially owned by the Acquiring Person.

Notional Shares. Shares held by Affiliates affiliates and Associates associates of an Acquiring Person, including certain entities in which the Acquiring Person beneficially owns a majority of the equity securities, and Notional Common Shares (as defined in the Rights Agreement) held by counterparties to a Derivatives Contract (as defined in the Rights Agreement) with an Acquiring Person, will be deemed to be beneficially owned by the Acquiring Person.

Notional Shares. Shares held by Affiliates affiliates and Associates associates of an Acquiring Person, and Notional Shares notional shares held by counterparties to a Derivatives Contract with an Acquiring Person, will be deemed to be beneficially owned by the Acquiring Person.

Notional Shares. Shares held by Affiliates affiliates and Associates associates of an Acquiring Person, and Notional Shares held notional shares that are the subject of or the reference securities for, underlie, or are beneficially owned, directly or indirectly, by counterparties to a counterparty under, a Derivatives Contract with an Acquiring Person, will be deemed to be beneficially owned by the Acquiring Person.

Notional Shares. Shares held by Affiliates and Associates of an Acquiring Person, and Notional Common Shares held by counterparties to a Derivatives Contract with an Acquiring Person, will be deemed to be beneficially owned by the Acquiring Person.

Notional Shares. Shares held by Affiliates and Associates of an Acquiring Person, and Notional notional or other Shares held by counterparties related to a Derivatives Contract with Interests of an Acquiring Person, will be deemed to be beneficially owned by the Acquiring Person.
