Novation and Acceptance. Subject to the terms and conditions contained herein, the Company and the Fund hereby affect a novation of the Participation Agreement to substitute AGI Distributors for OCC Distributors as party to such agreement (the "Novation"), AGI Distributors hereby accepts such novation and agrees to undertake all of OCC Distributors' duties and obligations under the Participation Agreement. The Company and AGI Distributors hereby release OCC Distributors from all of its duties and obligations under the Participation Agreement and OCC Distributors hereby consents to such novation.
Novation and Acceptance. Subject to the terms and conditions contained herein, NB Management hereby effects a novation of the Management Agreement to substitute NBIA for NB Management as a party to such agreement, and the Fund hereby consents to such Novation and hereby releases NB Management from all of its duties and obligations under the Management Agreement, and NBIA hereby accepts the Novation and hereby releases NB Management from all of its duties and obligations under the Management Agreement and assumes all rights, duties and obligations of NB Management under the Management Agreement.

NB Management hereby effects a novation of the Distribution Agreements to substitute NB LLC for NB Management as a party to such agreement, and the Trust hereby consents to such Novation and hereby releases NB Management from all of its duties and obligations under the Distribution Agreements, and NB LLC hereby accepts the Novation and hereby releases NB Management from all of its duties and obligations under the Distribution Agreements and assumes all rights, duties and obligations of NB Management under the Distribution Agreements.
Novation and Acceptance. Subject to the terms and conditions contained herein, New York LLC hereby effects a novation of the Agreement to substitute Delaware LLC for New York LLC as a party to such agreement, and the Trust hereby consents to such novation and hereby releases New York LLC from all of its duties and obligations under the Agreement, and Delaware LLC hereby accepts such novation and hereby releases New York LLC from all of its duties and obligations under the Agreement and assumes all rights, duties and obligations of New York LLC under the Agreement.
Novation and Acceptance. Subject to the terms and conditions contained herein and the completion of the Transaction, HFMC and WMC Massachusetts hereby effect the novation of the Sub-Advisory Agreement (the “Novation”) to substitute WMC Delaware for WMC Massachusetts for all purposes of the Sub-Advisory Agreement. HFMC hereby consents to such Novation and hereby releases WMC Massachusetts from all of its duties and obligations under the Sub-Advisory Agreement, and WMC Delaware hereby accepts the Novation and assumes all rights, benefits, duties and obligations of WMC Massachusetts under the Sub-Advisory Agreement.
Novation and Acceptance. Subject to the terms and conditions contained herein, XXXX hereby affects a novation of the Portfolio Management Agreement to substitute PFA for XXXX as party to such agreement (the "Novation"), PEA hereby consents to such Novation and hereby releases XXXX from all of its duties and obligations under the Portfolio Management Agreement, and PFA hereby accepts the Novation and hereby releases XXXX from all of its duties and obligations under the Portfolio Management Agreement and assumes all rights, duties and obligations of XXXX under such agreement. Any procedures established from time to time by agreement between XXXX and PEA shall be assigned to PFA, subject to the terms and conditions contained herein and subject to amendment by mutual agreement of PFA and PEA.

Subject to the terms and conditions contained herein, AGI hereby affects a novation of the Agreement to substitute AGIFM for AGI as party to such agreement (the "Novation"), the Company and AGID hereby consent to such Novation and hereby release AGI from all of its duties and obligations under the Agreement, and AGIFM hereby accepts the Novation and hereby releases AGI from all of its duties and obligations under the Agreement and assumes all rights, duties and obligations of AGI under the Agreement. Any procedures established from time to time by agreement between and among AGI, AGID and the Company shall be assigned to AGIFM, subject to the terms and conditions contained herein and subject to amendment by mutual agreement of AGIFM, AGID and the Company.

Subject to the terms and conditions contained herein, Anfield hereby effects a novation of the Agreement to substitute Regents Park for Anfield as a party to such agreement (the “Novation”), and the Fund hereby consents to such Novation and the Trust hereby releases Anfield from all of its duties and obligations under the Agreement, and Regents Park hereby accepts the Novation and hereby releases Anfield from all of its duties and obligations under the Agreement, and assumes all rights, duties and obligations of Anfield under the Agreement.

Subject to the terms and conditions contained herein, AIML hereby effects a novation of the Agreement to substitute AIAL for AIML as a party to such agreement (the “Novation”), and each Fund hereby consents to such Novation and the Trust hereby releases AIML from all of its duties and obligations under the Agreement, and AIAL hereby accepts the Novation and hereby releases AIML from all of its duties and obligations under the Agreement, and assumes all rights, duties and obligations of AIML under the Agreement.

Subject to the terms and conditions contained herein, PEA hereby affects a novation of the Subadvisory Agreement to substitute OCC for PEA as a party to such agreement (the “Novation”), the Adviser hereby consents to such Novation and hereby releases PEA from all of its duties and obligations under the Subadvisory Agreement, and OCC hereby accepts the Novation and hereby releases PEA from all of its duties and obligations under the Subadvisory Agreement, and assumes all rights, duties and obligations of PEA under such agreement.
