Common use of Novation and Acceptance Clause in Contracts

Novation and Acceptance. Subject to the terms and conditions contained herein, XXXX hereby affects a novation of the Portfolio Management Agreement to substitute PFA for XXXX as party to such agreement (the "Novation"), PEA hereby consents to such Novation and hereby releases XXXX from all of its duties and obligations under the Portfolio Management Agreement, and PFA hereby accepts the Novation and hereby releases XXXX from all of its duties and obligations under the Portfolio Management Agreement and assumes all rights, duties and obligations of XXXX under such agreement. Any procedures established from time to time by agreement between XXXX and PEA shall be assigned to PFA, subject to the terms and conditions contained herein and subject to amendment by mutual agreement of PFA and PEA.

Any procedures established from time to time by agreement between XXXX and PEA Parametric shall be assigned to PFA, subject to the terms and conditions contained herein and subject to amendment by mutual agreement of PFA and PEAParametric.

Any procedures established from time to time by agreement between XXXX and PEA Cadence shall be assigned to PFA, subject to the terms and conditions contained herein and subject to amendment by mutual agreement of PFA and PEACadence.

Any procedures established from time to time by agreement between XXXX and PEA DRCM shall be assigned to PFA, subject to the terms and conditions contained herein and subject to amendment by mutual agreement of PFA and PEADRCM.
