Novation of B4 Facility. Subject to the provisions of Clause 37.3 (Assignments or Transfers by Lenders), the Facility Agent may on not less than 2 Business Days prior notice, require the Company to (and the Company shall promptly thereafter) transfer by way of novation and in form satisfactory to the Facility Agent, some or all of its obligations under the B4 Facility to the US Borrower, whereupon such US Borrower shall become the primary obligor in respect of such obligations as if it had been the original Borrower thereof.
