Common use of Number of Authorized Shares of Series B Common Stock Clause in Contracts

Number of Authorized Shares of Series B Common Stock. (a) From the date hereof until the Termination Date for OCHC and its Wholly Owned Affiliates, the Company shall not effect an amendment to the Amended and Restated Certificate (whether by merger, consolidation or otherwise) that increases the number of authorized shares of Series B Common Stock without the prior written consent of OCHC.
