Number of Offerees. (i) The Owner Participant and the Certificateholders shall have received a certification from the Facility Lessee as to the number of offerees by it of the Lessor Estate and (ii) the Facility Lessee shall have received certification from the Newcourt Capital Securities, Inc. as to the number of offerees by it of the Lessor Estate and (iii) the Facility Lessee shall have received certification from CSFB as to the number of offerees by it of the Lessor Estate.
