NYSE Amex Listing. The Fund’s common shares have been duly authorized for listing on the NYSE Amex and the Fund’s registration statement on Form 8-A with respect to both the common shares and the Securities under the 1934 Act is effective.

NYSE Amex Listing. The Securities shall have been approved for listing on the NYSE Amex, subject only to official notice of issuance.

Public Company shall facilitate communications of Merger Partner and NYSE AMEX as may be reasonably requested by Merger Partner.
NYSE Amex Listing. The common stock of the REIT is and will continue to be listed for trading and traded on either the New York Stock Exchange or the American Stock Exchange.

NYSE Amex Listing. GigOptix shall use commercially reasonable efforts to cause the GigOptix Common Stock issuable pursuant to Section 2.01 to be authorized for listing on the NYSE AMEX, subject to official notice of issuance, prior to the Closing Date, and if that is not reasonably possible, then as soon thereafter as is reasonably possible. If within 60 days following the Effective Time, such shares of GigOptix Common Stock has not been so authorized, then the board of directors of GigOptix will use its best efforts to take further actions as appropriate to achieve such listing on NYSE AMEX, subject to official notice of issuance.
NYSE Amex Listing. The PAPI Parties shall have maintained its status as a Company whose Common Stock is quoted on the NYSE Amex and no reason shall exist as to why such status shall not continue immediately following the Closing.
NYSE Amex Listing. Parent Common Stock is currently listed on the NYSE Amex. Except as set forth on Schedule 3.23, there is no action or proceeding pending or, to Parent's knowledge, threatened against Parent by the NYSE Amex or the Financial Industry Regulatory Authority, Inc. with respect to any intention by such entities to prohibit or terminate the listing of Parent Common Stock on the NYSE Amex.
