(a) Prior to the date of this Agreement, the Parties caused an application for the listing on the NYSE of New Residential Common Stock to be issued to the Record Holders in the Distribution (the “NYSE Listing Application”) to be prepared and filed. (b) The Parties shall use commercially reasonable efforts to have the NYSE Listing Application approved, subject to official notice of issuance, as soon as reasonably practicable following the date of this Agreement. (c) Newcastle shall give the NYSE notice of the Record Date in compliance with Rule 10b-17 under the Exchange Act.
